These Terms and Conditions govern your use of the Black Apron Society website, Members Lounge, application process, and any events, memberships, or related services we provide. By visiting our site, submitting an application, purchasing a membership or ticket, or attending a Society event, you agree to be bound by these Terms.

Black Apron Society is an invitation-only fine dining and entertainment club based in Toronto, Ontario, Canada. If you do not agree with these Terms, you should not use the site or proceed with membership or ticket purchases.

1. Eligibility

Black Apron Society is designed for adults. By using the website, applying for membership, or attending an event, you confirm that you are at least the age of majority in your jurisdiction and legally able to enter into binding agreements. We reserve the right to request proof of age at any time.

2. Membership applications and selection

Membership is limited and curated. Submitting an application does not guarantee acceptance. We review applications based on a range of factors, including fit with the culture of the Society, room balance, and capacity for a given season.

  • We may approve, decline, or waitlist applications at our sole discretion.
  • We may invite applicants to join as full members, couples, group members, or social/online-only members.
  • We are not obligated to provide detailed reasons for an application decision.

3. Memberships, tickets, and payments

Membership fees, seasonal pricing, ticket prices, and available packages are displayed at the time of purchase or within your member materials. All prices are listed in the currency indicated on the site and may be subject to applicable taxes and processing fees.

  • Payment is typically required in full at the time of booking or membership confirmation.
  • We use third-party payment processors to handle transactions. Their terms will also apply.
  • Memberships and tickets are personal to you and may not be resold, transferred, or assigned without our prior written consent.

Any special offers, founder rates, tiers, or benefits may be time-limited and subject to change. Where we have promised a “founder” or locked-in rate, that protection applies only while your membership remains active and in good standing, as further described in your membership documentation.

4. Cancellations, refunds, and credits

Our general approach to cancellations and refunds is outlined here and may be expanded in your Member Handbook or event-specific terms.

  • Cancellations made within the stated cut-off period (if applicable) may qualify for partial credit toward a future event, subject to availability.
  • Late cancellations and no-shows may result in forfeiture of some or all fees paid.
  • If we must cancel or significantly reschedule an event (for example, due to venue issues, chef illness, or force majeure), we will provide options such as credit, transfer, or refund, as appropriate to the situation.

Any specific cancellation or refund policy stated on an event page, ticketing page, or membership agreement will apply in addition to these Terms.

5. Event conduct and experience

Black Apron Society is built on respect, discretion, and atmosphere. By attending any event, you agree to:

  • Follow the Code of Conduct, Membership Handbook, and any instructions given by our staff or venue partners.
  • Behave respectfully toward staff, performers, chefs, mixologists, and other guests.
  • Respect photography and recording guidelines, including limited or no filming during certain portions of the night.
  • Refrain from disruptive behaviour, harassment, discrimination, or any conduct that compromises the experience or safety of others.

We reserve the right to refuse entry or remove any guest or member from an event, without refund, if their behaviour is unsafe, disrespectful, or inconsistent with the standards of the Society.

6. Changes to events, chefs, or programming

While we take great care to deliver the experience described in our materials, the nature of live events means that details may change. This may include changes to:

  • Chef or talent line-up.
  • Menu, pairings, or service style based on ingredient availability or dietary requirements.
  • Venue layout, seating assignments, or performance sequence.
  • Event dates and times where required for operational or safety reasons.

Where material changes are necessary, we will communicate them as early as reasonably possible and offer appropriate options where required, such as credits or alternative dates.

7. Members Lounge and online accounts

Some members will receive access to a Members Lounge, private portal, or similar online features. You are responsible for maintaining the confidentiality of your login details and for all activities that take place under your account.

  • Do not share your login details with others or allow non-members to access restricted areas.
  • Notify us promptly if you suspect unauthorized access to your account.
  • We may suspend or terminate access to the Lounge or portal if we detect misuse or violations of these Terms.

8. Intellectual property

All content on the website and in the Members Lounge, including text, images, graphics, video, audio, branding, and design elements, is owned by or licensed to Black Apron Society and is protected by applicable copyright, trademark, and other intellectual property laws.

  • You may not reproduce, distribute, modify, or publicly display our content without our prior written permission, except as allowed by fair dealing or applicable law.
  • Members and guests may appear in photographs or video captured during events. Where we use such material for marketing or archival purposes, we do so respectfully and in line with our privacy commitments.

9. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. By using the site or participating in Society activities, you acknowledge that your information will be processed as described there.

10. Third-party services and links

Our website and communications may link to third-party sites or services, including ticketing platforms, payment processors, social media pages, and partner websites. These third parties have their own terms and policies, which we do not control and are not responsible for.

Your use of any third-party site or service is at your own discretion and subject to that provider’s terms and conditions.

11. Disclaimers

While we put great care into the curation and execution of each night, we cannot guarantee that every aspect of the experience will meet every guest’s expectations. To the fullest extent permitted by law:

  • The website and all Society services are provided “as is” and “as available”.
  • We do not warrant that the site will be uninterrupted, secure, or error-free.
  • We do not warrant any particular outcome from membership, networking, or connections formed through the Society.

12. Limitation of liability

To the maximum extent permitted by applicable law, Black Apron Society and its directors, staff, contractors, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to:

  • Your use of the website, Members Lounge, or any digital services.
  • Your attendance at or inability to attend an event.
  • Any changes, substitutions, or cancellations related to an event or membership.

Where liability cannot be excluded, it will be limited to the amount you paid for the specific membership or event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless Black Apron Society, its directors, staff, and partners from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of:

  • Your breach of these Terms.
  • Your misuse of the website, Members Lounge, or event access.
  • Your conduct at any Society event or related gathering.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable in Ontario, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms, the website, or any Society activities will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

15. Changes to these Terms

We may update these Terms from time to time to reflect changes in how we operate, new features, or legal requirements. When we make changes, we will update the “Last updated” date at the top of this page and may provide additional notice where appropriate.

Your continued use of the website or participation in Society activities after changes take effect means you accept the updated Terms.
